  • Delayed payments may attract interest or suspension of services.
  • We reserve the right to change service pricing, unless otherwise agreed in writing.

4. Intellectual Property & Ownership

  • Unless agreed otherwise, we grant you a license to use deliverables (videos, designs, content) for the intended purpose after full payment.
  • We retain ownership or moral rights to portfolio work, drafts, or unused materials, unless assigned in writing.
  • You warrant that input materials (logos, text, media) you provide do not infringe any third-party rights.

5. Revisions & Changes

  • The number of revision rounds allowed shall be specified in the service agreement.
  • Additional changes beyond scope will incur extra charges.
  • Any delays caused by client’s late feedback or approvals may alter timelines.

6. Client Responsibilities

  • Provide all required materials, information, feedback, and approvals in a timely manner.
  • Ensure that content you provide (text, images, logos) does not violate laws or third-party rights.
  • Comply with any laws or regulatory requirements relevant to your industry or content.

7. Confidentiality

  • Each party agrees to keep confidential any nonpublic information obtained in connection with the services.
  • Confidential information may not be disclosed to third parties without consent, except as required by law.

8. Termination & Suspension

  • Either party may terminate the service agreement for material breach (after notice/cure period).
  • Upon termination, you shall pay for work completed up to that point.
  • We may suspend or discontinue services or access to the site at our discretion (e.g., for nonpayment or misuse).

9. Warranties & Disclaimers

  • We provide services “as is” and “as available,” to the maximum extent permitted by law.
  • We disclaim all warranties, express or implied, including fitness for a particular purpose, noninfringement, or accuracy of results.
  • We do not guarantee that deliverables will achieve specific results (e.g., viral reach, ranking, leads) unless expressly agreed in writing.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall our liability exceed the total fees paid by you for the relevant service. We will not be liable for indirect, incidental, punitive or consequential damages, loss of profit, data, etc.

11. Indemnification

You agree to indemnify, defend, and hold harmless AADI Corporate Services, its affiliates, employees, and agents, from any claims, demands, liabilities, losses, damages, or costs (including legal fees) arising out of or relating to your breach of these Terms, misuse of deliverables, or violation of applicable laws or third-party rights.

12. Force Majeure

Neither party is liable for delays or failures in performance due to events beyond reasonable control (e.g., natural disasters, strikes, war, or governmental acts).

13. Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of India (specifically, the State of Maharashtra).
  • Any disputes arising shall be subject to the exclusive jurisdiction of courts in Thane/Mumbai.

14. Severability & Waiver

If any provision is held invalid or unenforceable, it shall be severed and the remaining provisions remain in effect. No waiver of any term or breach shall constitute waiver of other terms or future breaches.

15. Amendments

We may revise or update these Terms at any time, and such changes become effective when posted. You should review them periodically. Continued use of the website or services constitutes acceptance of the updated Terms.
